Starting a business in Europe

The individual who sets up a company within the borders of Slovakia gets access to the products and services of the entire European Union, and his rights will not differ from those of EU citizens.

This is the place to note that the taxation system in Slovakia is one of the most profitable in the European Union. As of 2020, it has progressive taxation: the initial corporate tax is only 15%, the dividend tax amounts to 7%.

The legal status of the company will affect the rights as well as the restrictions.

You should know the advantages and disadvantages of each option involved in opening a business in Europe.

 

The most common and easy way to get a residence visa in an EU country is to establish:

  • SRO company - similar to VAT companies

  • Zivnost a private business as a freelancer - similar to a licensed or exempt trader

 

Whether you start your own company or register as a freelancer, you will be eligible to be reunited with your family. This means that your spouse, the children and in some cases also the parents can get the resident status. It should be noted that for children under the age of 18, health insurance and schooling (if they live in Slovakia) are free of charge and mandatory, regardless of your company status.

SRO company

​

Advantages

 

  • Suitable for a small or medium business;

​

  • In an SRO company there can be more than one co-owner (owners and managers), when each will be entitled to family reunification. Slovak law allows up to 50 partners, although we do not recommend more than three partners because of the possible problems with the immigration authority;

​

  • The tax is on the profit only (revenue minus expenses), when in 2020 the marginal tax dropped to 15% if the profit does not exceed 300 thousand euros per year;

​

  • The Immigration Authority values the status of an SRO higher, because it has a large annual turnover and pays tax every year;

​

  • The business owners have no difficulties related to the extension of the documents;

​

  • The dividend tax is fixed and low - only 7%. After paying the dividend tax, you enter the managers account and are considered as income for everything and proof of financial viability in receiving eligibility for a mortgage or leasing;

​

  • The owner of an SRO company can qualify for a mortgage or leasing not only based on profits but also based on the size of the annual turnover;

​

  • The company is a limited liability company;

​

  • Exemption from monthly social tax (165 euros per person);

​

  • As a substitute for establishing a new business, there is an option to purchase an operating SRO company from the previous owners, without management. This will facilitate not only the process of handling documents, but also obtaining eligibility for leasing, a mortgage or other credit, after all the bank needs two annual reports.

Disadvantages

 

  • The costs of opening the company are high;

​

  • Opening the company requires a deposit of 21,5 thousand euros, as a guarantee of the company's solvency while you submit documents to the immigration authority (note, this is your money. After receiving the resident status - you can use it as you wish);

​

  • The amount of corporate tax must be at least 3,500 euros, and the profit must be at least 16,500 euros before tax;

​

  • Until receiving the residence visa, the person is not entitled to public health insurance (the cost of private insurance is about 700 euros per year).

Freelancer private business - živnost

​

Advantages

 

  • The opening cost is lower: you will be required to deposit only 5,000 euros into the company's account;

​

  • The business owner is entitled to state health insurance (although it will still be necessary to purchase private health insurance for a spouse);

​

  • The annual tax amount needed to extend the residence visa is lower (from 500 euros per year);

​

​

Disadvantages

 

  • It is not possible to open the business with partners and thus share the management expenses and opening fees;

​

  • Starting from the second year, social tax must be paid (at least 165 euros per month), the amount of which depends on the turnover of the business. If the income is high, the tax can reach significant amounts;

​

  • Minimum turnover (profit) may make it difficult to qualify for a mortgage or leasing;

​

  • May raise suspicions in the immigration authority;

​

  • The entrepreneur bears full responsibility for his property in front of his customers.

​

Opening a business in Europe is one of the popular ways to obtain a residence visa in Europe in the territory of one of the countries that allows it. The main advantage of establishing a business in Europe is the possibility of entering the large international market of the European Union, because it all operates according to the same laws and is conducted in a same currency. In addition, you will enjoy the right to free movement between the countries and other rights that do not fall far short of the rights of a person with a European passport.

 

Each European country has its own rules regarding registration and permits for starting a business.

To open a company in the European Union, a foreign citizen must complete a procedure of registering a legal entity with the local authorities, receive a number for paying taxes and register with the National Insurance Office. Additionally, it may be necessary to become a member of a Chamber of Commerce or other business management organization. The policy of the EU countries is aimed at creating optimal conditions for foreign entrepreneurs that help the economic growth of the chosen country. There are a number of benefits that can be received in different countries, although there are policy differences within the Union.

For the most part, it is common to talk about reducing the tax burden on businesses. In many European countries, small and medium-sized businesses benefit from lower tax rates and various government incentives.

Here it should be noted that Slovakia has a particularly profitable taxation system: corporate tax -15% and dividend tax 7%. The level of taxes is relatively low compared to many European countries.

 

There is also government support: the European Union can provide funding in the form of loans and grants for a wide variety of projects and programs in areas such as education, health, consumer protection, humanitarian aid, and more, depending on the scope of the project and the priorities set by the particular country in which you are opening a business. Thanks to this, registering a business in the EU contributes to the increase in income, given that a company can be established in one country, and from there expand its influence throughout the EU.
